Nvidia has reportedly provided up to $164.5bn in financial guarantees and commitments tied to a new wave of AI data-center infrastructure, according to S1. The largest component is a $105bn lease guarantee associated with SB Energy’s Ohio project, which OpenAI is expected to lease.
- S1 reports up to $164.5bn of Nvidia financial guarantees and commitments linked to AI data-center infrastructure.
- A $105bn lease guarantee for SB Energy’s Ohio project is the largest reported component.
- OpenAI is expected to lease the SB Energy campus; the materials do not establish that the campus is operational.
- Reported commitments also include capacity-purchase obligations, direct leases assigned to customers and lease guarantees for cloud providers.
- The arrangements could reduce unleased-capacity risk for infrastructure counterparties while increasing Nvidia’s exposure to utilisation and credit risk.
According to S1, Nvidia has expanded its financial support for AI data-center infrastructure through lease-payment guarantees, commitments to purchase data-center capacity that cloud providers are unable to sell, and direct data-center leases that are subsequently assigned to customers.
S1 puts the aggregate value of these guarantees and commitments at up to $164.5bn. This figure represents reported financial guarantees and contractual commitments, rather than confirmed Nvidia capital expenditure or funds already spent.
The largest disclosed component is a $105bn lease guarantee for an Ohio data-center project being developed by SB Energy, a SoftBank subsidiary. S1 reports that OpenAI is expected to lease the campus. The reported $105bn guarantee accounts for about 64% of the aggregate commitment total. No capacity, construction stage, commissioning timetable or confirmed operating status was provided for the project.
Other reported exposures include about $36bn in commitments to purchase unsold data-center capacity from cloud providers; about $20bn in data-center leases signed directly by Nvidia and later assigned to customers; and roughly $3.5bn in lease guarantees for data-center agreements signed by cloud providers themselves. Separately, Nvidia has reportedly invested or committed around $7bn in AI-focused cloud-service companies.
Such structures could facilitate contracting for AI data-center capacity by reducing the risk of unleased infrastructure for operators and cloud providers. At the same time, they increase the linkage between GPU sales, data-center leasing and Nvidia’s credit exposure. If demand for compute capacity weakens, the guarantee and capacity-purchase commitments could become a material market consideration.
The reported arrangements show how an accelerator supplier may assume material financial exposure to support AI infrastructure contracting and demand for compute capacity. They could reduce operators’ and cloud providers’ exposure to unleased capacity, while transferring part of the utilisation, customer-payment and credit risk to Nvidia’s balance sheet.
