  • CoreWeave announced a planned $3 billion convertible notes offering.
  • A purchaser option could increase the notes offering by up to $500 million, to a maximum of $3.5 billion.
  • The company also launched an ATM programme for up to 35 million shares.
  • The ATM programme was estimated at up to $2.92 billion using the closing price on the 16th, but actual issuance depends on market conditions.
  • CoreWeave reported a $104.2 billion order backlog at the end of the second quarter.

CoreWeave has announced a planned $3 billion convertible notes offering as it seeks funding for capital-intensive AI infrastructure expansion. Initial purchasers have an option to acquire up to a further $500 million of notes within 13 days, which would increase the potential size of the transaction to $3.5 billion.

Separately, the company has initiated an at-the-market (ATM) equity programme covering up to 35 million shares. Based on the closing share price on the 16th, the programme was estimated to have potential proceeds of up to $2.92 billion. That figure is not committed financing: the extent and timing of any sales under the ATM programme depend on market conditions.

The financing plans come against a reported order backlog of $104.2 billion at the end of the second quarter. The source characterises AI infrastructure as highly capital-intensive and points to growing financial pressure associated with investment in such facilities.

For the data-center market, the announcement reinforces the funding intensity of GPU-centric cloud infrastructure. Large-scale debt and equity capacity could become a material competitive variable for AI-cloud operators, potentially affecting the rate at which new infrastructure can be deployed alongside demand for compute and equipment availability.

The announcement does not confirm that the convertible notes transaction has closed, its final size, or how proceeds will ultimately be deployed. The larger $3.5 billion amount remains contingent on exercise of the purchaser option and market demand.

Почему это важно

The planned financing highlights the scale of external capital required to expand GPU-oriented cloud and AI data-center infrastructure. It also suggests that access to both debt and equity markets could increasingly influence the pace at which AI-cloud operators can add capacity, alongside demand for compute and equipment availability.
